Thats high end for SDE II. Unless you have solid industry experience to make Senior, it's a solid offer. Note that PhD means little when it comes to senior title (more about leadership/delivering technical projects, which by definition require industry experience).

Your TC comes to just under 235k. I think with a PhD, you can get higher offers at Facebook or G. But I don't think Amazon will negotiate much more on that.
You have a TC of 230K for the next 4 years. You'll be put in botttom of L6 band (250K) if you managed to get promoted in 2-3 years. A lot depends on your current TC and how much of an upgrade it is for you. If I was already close to the offered TC, I'd work for a year or two more and join as L6 SDE at 300K. That helps me skip the arduous promo process and get more bang for the buck. Alternately, if you truly feel that you have a few gaps before getting to "senior" and those gaps are better filled at Amazon, then take the deal.
Not sure if I want to get to Senior. It seems to be much more stressful, more meetings, less coding which is what I love to do.
