Apparently Oracle is being sued by former female employees according to The Information. Makes sense that the board will vote down the proposal. Why would you give ammunition to lawyers that can come up during discovery?

Logic seems pretty simple. There is a pay gap and it's big enough that the board doesn't want it public. If that's the case, the board is doing their fiduciary duty. Hopefully, they are also fixing the root issue.
