L5 mgr is rare, first of all. You might be able to negotiate some additional equity but that seems in line.
Think I got lowballed on level and TC but given its G, I wonder if I should take it quietly. No other offer at this point.
Negotiations in a polite professional manner is not a bad thing. Be ready to justify it with what you bring to table.

Is this a lateral move from your previous company? It's hard to say if you were lowballed on level without knowing your history. The TC is upper end of 5, though.
IC work previously as research scientist ... led small research groups. First ‘engineering manager’ position ... looking as career change onto VP/SVP ladder.
Honestly, it sounds like a very fair offer. You should absolutely negotiate on the principle of it, even without an alternative, but that's a very competitive L5 offer.
Can you share the TC split?
Very strange offer, most teams don't hire L5 EMs
I guess you were considered for all L5 to L7 grades for your position as a manager, but your performance was on the weaker side so they leveled you the lower end but still give you good package because they liked you.
