Why is Microsoft so cheap with TC? How can they attract top talent?

Interviewed at MSFT and recruiter said in email expect "exceptional offer" and they are getting "CVP approval". I got upleveled to Principal/L65 from e5. Offer seems low-ball. I made same as E4 3 years ago. How can msft attract top talent with such shitty TC?
Principal/L65 offer:
$175k base, $400k RSU, $100k sign on
TC: $310k
I am currently E5 with ~435k TC (before crash). It's $370k..after crash

Maybe Some X startup is going to be the next Google in terms of talent.
