Company is being acquired, do I get new RSU package?

The company I am now working for is being acquired by Uber. Being that my options won’t be worth too much after the acquisition, I’m wondering if upon being absorbed into Uber, will we get a new RSU 4 year package?

Our company mentioned at one point that our compensations will align with Uber’s, so I’m wondering if that will also include an RSU package.

      That will never happen. i came to Uber through acquisition too. Your vested and unvested options/RSUs from company X will convert into Uber RSUs at a pre determined ratio . That ratio is determined at time of acquisition, and that’s how other big equity investors are paid out too in non cash acquisitions.

      That sucks to hear, because it means my TC will be ~170k with over 7 YOE, so I will definitely start applying after the acquisition.

    Start interviewing. First thing after acquisition is to match the teams and fire people from the company that’s acquired.

  • You have to look in the RSU plan document and see what happens for a “Change in Control”. I’ve seen deals where all RSUs vest and cashed out and ones where the stock is replaced with the new company’s stock.

    • Have you seen any where all new stock plans are granted to employees?
      I just don’t want to be payed the same base and not have any RSUs. I have options I can exercise (as they will be converted to uber stock after acquisition), but that’s like 50k-80k max post-tax, which is a bit disappointing.

      Maybe it is time to interview again.
