How will the ByteDance IPO freeze impact TikTok IPO timing?

Maybe this is a stupid question but could TikTok IPO separately? Are the subsidiaries structured so that all would be tied to ByteDance stock? Asking b/c recruiters have been reaching out to me. Also any U.S. based people working for a company listed on a foreign exchange, what’s your experience vesting?

  • Your RSUs are bytedance. They can’t have TikTok independently IPO and grant you liquidity, unless they carve out your Bytedance shares and exchange it for a fixed ratio for TikTok and all subsidiary company stock (bytedance is probably a HoldCo for multiple OpCos)

    Would they do that for you? No. It’s basically asking if FB will grant you Instagram only stock and split out the WhatsApp, FB, oculus stock etc.

    If they list, it’ll probably be in HK. You’ll probably have some delay in executing trades and getting liquid cash from each transaction. However, there is no capital gain tax in HK so you won’t have a foreign withholding issue

  • Highly doubtful TikTok would IPO separately. Company RSUs are all under parent company, Bytedance, and that’s unlikely to change in foreseeable future.

    China has decided they don’t want their companies to go public on western markets. Period. Your bytedance / Tiktok dreams of $$$ from IPO / liquid stock are, IMHO, unlikely to ever materialize.

    Not saying right or wrong, just laying out the situation as I see it.

      Thanks for the insight skydweller. So for non-Chinese nationals there should not be a problem if listed in HK.

      The application of the so called national protection law can extend to even non Chinese nationals on how It was written, which include Hong Kong and Macau) though it has never been executed outside of the area.
