Just wondering, if I sign an offer letter, but my current company gives a really good counter, is there an issue with breaking the new offer letter? Aside from burning the bridge with the new company of course :)

You have any experience or first hand accounts? I know this is a common risk but never heard of this actually happening.
If you are doing this solely to get a raise where you are now, then you’re just burning the bridge. Note that you probably have pissed in the pool as far as your current manager is concerned. Also note that this industry is small. You will run into people you have worked with before or people who know people. Try hard to not burn bridges.

It is better to let them know your counter offer and let them start bidding, then choose the best offer. Remember the employment is at will, meaning employers can also fire you any time. Backing out of an offer is better than quitting, when the company would have invested a lot more on you.
Also do not worry if you want to stay. Most reasonable managers will appreciate your value (that you can get an offer) and loyalty. They should know this is a free market, if they want to keep good people, treat them well.
