Coinbase offer evaluation

Trying to evaluate this offer IC5 SWE 200k base, 500k RSU Not sure if this is a standard offer, or if there is room for negotiation. The valuation also seems to be a big question... Creating a multiple selection poll, to gather some data.....

Join if you think Coinbase will be 1T market cap (currently 100B)

Google hmghje OP Mar 13, 2021

It seems like it’s secondary market valuation is lower than 100B

Intuit mcirJe Mar 13, 2021

100B is for $373 a share, secondary market shares are now $479

Google ov3hyg Mar 13, 2021

I wouldn't take a pay cut of that size. What's your current level andyoe? Keep interviewing maybe?

Walmart Crash&Burn Mar 13, 2021

Go for it. You can always pivot back to google if required but future upside is worth taking a pay cut.

350 for 4years but this is pre IPO so depends on current 409a valuation and the upside after IPO

Google hmghje OP Mar 13, 2021

That sounds right, hoping to join before the IPO so it should be lower than listing price

IBM yt0Pjs12 Mar 13, 2021

Location?

Google hmghje OP Mar 13, 2021

It’s a remote role

IBM yt0Pjs12 Mar 13, 2021

So offer not based on location? Canada or US is the same? 🤷‍♂️

Google jingle me Mar 13, 2021

Take the difference in pay and buy pre-ipo shares with it

Google hmghje OP Mar 13, 2021

How do I buy? Seems like you need to an accredited investors, there are auxiliary costs.... and it’s already trading at 77B in secondary market

Google degJVdukVF Mar 14, 2021

You are probably already an accredited investor. You just need to be making $200k+ per year to qualify.

Two Sigma Ifvfjdvyj Mar 13, 2021

The amount of shares you get is converted from dollar amount to shares after you join. It might already be too late now to get the pre IPO valuation.

Google hmghje OP Mar 14, 2021

Yes, that’s right. Hoping to join before ipo, if I accept

Okta ohtc44 Mar 15, 2021

Is the shares based on the total 4 year amount divided by per share price at the time of the grant date?

Lyft jaja 😛 Mar 14, 2021

is this L5 offer?

Google hmghje OP Mar 14, 2021

Yes

The struggle of course is trying to understand what Coinbase’s valuation is in these new offers. I’ve posted insight recently that their offers are based on a trailing 60 day average of their 409a valuation between 2/1 and 4/1 if you start before March 29th.

Lyft jaja 😛 Mar 14, 2021

when did / will they change 409a valuation

Dropbox I like 🐢 Mar 14, 2021

No one knows. Based on their public S-1 they haven’t had a valuation change yet as their shares are listed at ~$33

Coinbase hPandK4 Mar 14, 2021

The company generates a new 409A every 2 weeks since end of January, and the internal 409A has been quickly catching up to the secondary market prices! The trailing average probably will help stabilize it a bit, but since we aren't allowed to speculate about the public prices, we can only rely on the secondary markets as reference the trailing average is based on the 60 days leading up to the next board meeting, not based on when you receive or accept the offer. we don't know when the next board meeting is, but someone else posted that it might be april? If you join close to the IPO, the average may include the IPO price!

Google hmghje OP Mar 14, 2021

Thank you, this is helpful info!

Google hmghje OP Mar 14, 2021

Is the trailing average, the average of last 2 409A prices? I am not sure what 60D means if the price isn’t updated frequently enough... (as in for public companies a 60D average is the average of daily closing prices)
