Got offered to be a C suite exec at a “hot” startup that is likely raising significant funding in its first round. The equity offer is substantial but any advice on negotiating other aspects like potential exit clauses and salary?
🍿
How did you make it to C level if you are still asking Blinders for inputs? You really think any C level execs spend time on Blind?
Read all the equity terms like you don’t trust them. And remember that exec at startup means nothing. Don’t buy any promise not in writing. Watch your back. Many startups are no better than pyramid schemes. Try to find out which this one is.
Given the profile of your description (eg. “hot” startup with major raise, bringing in a “c level exec” from FAANG), you should consult with a lawyer or comp specialist with experience in VC backed startups.
At larger companies C level executive's don't negotiate their packages themselves. They have lawyers to do that 😉. I know you said this is a startup and all but you might want to get a legal professionals eyes on the offer especially if they have a board.
Make sure you ask for accelerated vesting in change of control. I’m not too familiar with C-level comp structures but I could see that as a “I didn’t do this and got totally fucked” thing
Your lawyer is the first place to start. If they don’t have experience with startups, ask them for a referral. There is way too much that can go wrong for any meaningful answers here. The contracts will need to be tailored to your specific situation.
I wouldn’t do it. C level at start up is all on your shoulders. Too much risk and if the company fails , your doneski!
I doubt you will get much of an advice. Crowd here is all after TC at big firms!!
It’s worth a shot. I’m part of FAANG GANG and TC is all anyone cares for
