H1B transfer renege

I received offer from my dream company that I did not think I would get a job at.
My H1-B transfer to new employer at different company is underway.
I would have to renege to join dream company.
My start date is 1 month away however I don't think my background check etc will be done before H-1B.
How and when should I renege? After I clear background check with dream company or after I have transfer approved? Would be hard to do the second thing since h1b stuff takes very long time.
Do I need to share the I-797 approval etc with dream company lawyer? I don't think so.
