Hello, I got an offer from a series B startup as base 170k, 10k sign on and 450k options (0.0045%). I have total experience of 10yrs in the software engineering and would be joining as a senior in the team. Please let me know if it is a good for a series b company. Thanks in advance.
Ignore them. 0.0045% is nothing.
How much do series B startups usually give out for a non-leadership role?
I got 0.067% recently, C series. Declined the offer though.
Are you sure it’s 0.0045% for 450k options? Cuz that seems either really diluted or you’re getting ripped off. Should be getting at least 0.1% at this stage
0.01-0.1 for a series A, series B could be anything below that.
Yes, 0.0045% confirmed with the recruiter.
What do you mean by $450k options? Is it ISO options with current valuation strike price? Or RSU?
Options with strike price.
Your base is pretty good for series B. I'd only measure startup solely on base at this point. Unfortunately, it's tough to measure TC as a whole. Just make sure you're comfortable with the base, it's the kind of company you want to be in and you believe in the mission.
That much equity likely won't even make you whole if the company IPOs. Walk.
Equity is too low. Are you sure it is not 0.45% which is also same as 0.0045? (0.45/100 = 0.0045)
This. According to OP's numbers, the startup would be valued at $10 billion, which is unlikely for Series B.
How did you calculate valuation of $10 billion?
0.0045% is too less. My last offer was 0.5% equity for a Series B startup. It got diluted to 0.2% after Series C.
>> 70k, 10k sign on and 450k options (0.0045%). For someone with 10 years experience, it needs to be at least 0.1 % if they think series B is the last round 0.3% if there are more rounds. My last startup, Series A, with 15 years exp at the time, I had 0.5%. Walk away. They are screwing you over by a factor of 20.
Most startups do this, unfortunately.
Does it always come down to % ownership and not to valuation, total diluted shares, etc.?

Ok well first... what offer were you hoping to get?
I expected more stock options ~ 600k, but it seems to be not feasible
Then counter and request more. It’s simple.
