RSUs for pre-IPO companies

How does RSU vesting of pre-IPO companies as doordash and Bytedance work. The offer says vesting will happen based on time period (at least 1 year) and whether company goes IPO. What happens if I decide to leave the company before it goes IPO. What happens to stocks that were supposed to best in 1 year

When you leave, the stocks that have vested will continue to be time vested under your name. If the IPO happens, the performance condition is also met and the shares are transferred to your name on lockup expiry. If there is no IPO, your shares would expire and be worthless. In short, you retain vested RSUs even if you leave.

  • What happens if I leave the company before it goes IPO but after time based vesting. Do I still get any shares? How and when do I sell those?
