I got counter offered to match 80% external tech offer plus promotion in 8 months to Director which will put me in much bigger salary bracket close 500-600k.. Also, have some immigration related slight advantage if I accept counter offer.. Counter offer - 400k (mostly cash - about 40k are RSUs) External offer - 490k ( 140k is RSU) Current TC - 300k yoe - 11yrs Feels unethical to decline after accepting..

It's not unethical, but promises of future promotions are total BS, don't fall into that trap.
Never, ever take the counter offer.
Immigration related advantage could be the real benefit of staying, can the other company provide the same benefit?. I would say stay and ask them to promote you within next 3 months. Get something in written. Like an email from CTO, at least get them to acknowledge it in an email. It's not like your performance will be 2X in next 8 months. If they think you are eligible for promotion why wait for 8 months?
Also you never know your CTO or manager would be in the same company for next 8 months. Could there be a reorg?

As a rule, I never take counter offers and suggest the same to all. Only you know your immigration issue but generally, avoid accepting a counter
Immigration matter is key. They will find your replacement in the 8 months or reduce the dependency If you think you will be happy if you won’t get promoted in the next 1-1.5 years then take counter. Again, I am recommending counter due to immigration situation.

Never ever accept a counter offer. The company is only biding their time until they find a replacement. Promises of raises, promotions, etc at some later date are always suspect and you can view them as 100% bullshit. Beating the counter and an immediate promotion all in writing is the only thing you should even remotely consider.
