Doesn't it always mean: if the stock price near your joining is about $300, that means you will get 333 shares each year for 4 years? (assuming it is a 1 year cliff). If any FAANG or other companies are not like that, please note in the comment. 3. So that means, if the stock was not $300 but $100 when you join, that means you get 1000 shares each year for 4 years? 4. Result: So for two persons that are equal in every aspect but joined when the stock was $300 or $100, let's say the stock moves back up to $300 in 9 months, that can mean Person A's TC is $200k base + $100k RSU = $300k, while Person B's TC is like $200 base + $300k RSU = $500k? I suppose one risk is that, if you join when the stock just dropped to $100, there is a higher chance of a layoff, or that the company can go downhill from there. Also there is this variable about, if the stock is $100 when you join, will they say, we won't give you 1,000 shares but will give you less. This is right. To compensate Person A, some companies would give person A more stock in coming years. During annual review, Companies like Amazon look at total TC. So, if target based on your performance is $500k, then person B gets no RSUs (or very small minimal number) while person A would get RSUs to cover delta of $200k during annual review.
