Negotiations are happening behind closed doors where my package is getting decided. Do I have any opportunity to negotiate? When- before the negotiations are final or afterwards? I can't get concrete numbers beforehand because the deal isn't final, so how do recommend I negotiate and what's reasonable? 7 years experience, 3 years at current company of 40, employee #15, selling to mid-size private company of 1k employees.

I'm asking if I have any negotiating power over my own package or just have to accept what I get. And if I have any power, is it before or after the negotiations with the buyer are complete?
Your ability to negotiate is rather limited. The acquiring party will ask for a list of key contributors/ retention priorities. If you are among them, there may be special treatment, individual retention packages, leveling, etc. Otherwise, the rank and file are treated as a group with leveling and adjustments made to avoid significant comp discrepancies in the combined org.

What he said. However if you end up on the special peopleist you will be offered retention package. This is where your negotiation starts. I have seen unconditional green card process, stock, one time payout and even loan from the company being included. Sky is the limit. Not on the list? You are fucked
