Typically when a company is acquired, the original equity is bought out (to varying degrees). These managers may have had equity that was cashed out and now they’re looking for their next equity play (especially if they weren’t given decent equity in the new company). Also - some people don’t want to deal with the stuff that comes along with an acquisition. There tends to be a fair amount of conflict/change.
Yes, you should start looking. Best case these managers are riding the wave of a successful acquisition to better packages elsewhere, which you should be doing too. Worst case, they know that the new company is going to strongarm you to sign for lower TC/less options. It happens constantly, most frequently when Intuit acquired MailChimp.
