Seems like he got lowballed by the recruiter. He should have gotten another offer so he could negotiate up his stock portion. What was his sign on bonus?
The problem is executives are supposed to place an order in the future and disclose this date to the SEC - they can't sell their own company's stock just willy nilly. Looks like he knew when the results were coming out and what they were going to say. So that would make it insider trading given that he made this decision based on material non public information. This is just circumstantial evidence at this point.

This is part of a pre arranged deal where the CEO agreed to offload certain amount of stock based on movement after the announcement. This is routine and happens after almost every drug trials.
