The end of Backdoor Roth?!
Got a Pinterest verbal offer (L5, in SF, if it matters). I haven't received numbers since they're said they have a 1-week deadline and I want to finish up other interviews. Questions: 0. Is there any way to know more precisely when Pinterest's IPO is besides "sometime in April". Or is that a SEC law or something? 1. Let's say they IPO tomorrow (4/9 Tuesday). Will that affect my offer if I ask to be shown the offer numbers today 4/8 vs on 4/10? 2. Let's say I get an offer letter before they IPO. But then they IPO before I sign with them. Can the offer letter numbers be changed due to the IPO? 3. How strict is the 1-week deadline post-offer number reveal? TC: 280, 5 YOE
If P’s IPO price is below it’s 2017 valuation like some news say, then I don’t see much difference when the offer numbers be revealed. On the other hand, if IPO is 50% higher then the number of shares could decrease if presented later.
Depends if the offer is # or RSUs or if it’s a $ amount. If it’s the former, IPO doesn’t matter. If it’s the latter, it actually might be better for you post IPO since the rumor is the valuation is lower than internal (last funding round) valuation. Either way, your RSUs need board approval so price lock-in will come after IPO even if you join next week.
Internally company starts with a $ amount then convert it to RSU amount to present in the offer. I assume the $ amount stay similar but if RSU price has dramatic change, then you want get the offer when RSU price is low.
@Hd63gf7, thanks. My specific RSUs need board approval? or any RSU price change needs board approval?
Check the nasdaq homepage for estimated dates. I think it's the 11th
Thanks. I only see one mention of pinterest..., do you have a link?
Oops. Sorry. I wad thinking of PagerDuty. IPOs are in the air. Assume ~30 days from S-1 going public and the date will be here eventually: https://www.nasdaq.com/markets/ipos/
Ipo is not relevant for you.
Let me know when you get the offer, I want to see how it compares as I signed about a month ago
Will do. Wanna post here/PM me yours? How does it compare to comp.fyi numbers?
You won’t see any of that IPO money. That offer you’re getting I think will have post IPO priced in.
interesting thanks. What's your evidence for that?
Seen your exactly scenario play out for some people I know at different companies. Update us if it turns out differently.
