Ask questions about ARR, growth rate, gross margin and compare it with the best public ones(SNOW, SQ) etc to figure out how inflated the valuation is. Ask about burn rate, cash in the bank and you can calculate how long the company can last without layoffs when it's impossible to raise. Last thing is to remember that you're sold the best case scenario but in the end you're the one to decide.

You can easily get a uplevel offer in any midsize public company with 6yoe. You're like joining robinhood at $50. The true value of this offer is ~350k, maybe even 300k to be conservative, meaning you are taking a pay cut, better benefits at Google, opportunity cost of another real 500k liquid compensation, potential investment returns with the liquid $$$.
I am not getting a lot of growth opportunities internally so this is a good bet my Google TC is bound to drop after cliff don't forget that it's always possible to go back to Google if things don't work out
Don't compare with your current employer, compare with what you can get from the market. Is there a place that provides better growth opportunities while comp makes sense based on true market value of equity? If yes that's a way better offer.
