SAP overpaid big time, and the reality for SAP is that Qualtrics still is not profitable and likely won't be for some time. It should have gone public and continued it's top line growth focus without any concerns for margin, which is a mature tech concern. This announcement is really just an acknowledgement of that mistake, albeit with some face-saving spin.
This doesn't make sense to me. So say they spin off the stub at a $14-16bb valuation. Do you really think the board would consider that a mistake? It really seems like the price was more than justified based on how it has turned out. There's a chance it could be valued at $20bb, even.
SAP failed at realizing value/synergies. It just so happens that the market is valuing everything tech highly, soit’s an actually wise decision to get some money back before reality sets in (recession, mass unemployment).
I think it's good for SAP and Qualtrics. Qualtrics gets to continue to grow and get a high market valuation, while SAP can be a partner/investor while having to worry less about profit
Why would they worry less about profit? As a majority owner it would still show up in SAP's financials. So it wouldn't do anything to make SAP look more profitable unless they sold more than half.
From my understanding sap wanted more cash out of Qualtrics. They were looking for profit, which doesn't fit with an early stage tech company. This move gets them cash now
Its a great move by SAP.. SAP, in general, is going to grow in the next few months ( price target by a bullish investor $200 ).. Once Qualtrics goes IPO, there is no looking back for SAP.. Experience Management (XM) is a new category in the market where Qulatrics is a leader at this moment.. The market always look for something new and promising.. I bet IPO will be a hit.. I wish SAP allows to participate in pre-ipo
IMO Good strategy! Being majority shareholder, SAP wins on IPO and gets some money back while keeping revenue!! Why don’t we do the same with other clouds? Imagine at 16-20B evaluation, Qualtrics team gets a heap load of investment for sure and does not have to compete for SAP investments.
I love when Qualtrics news bleeds over to external areas of blind, because it's so easy to tell which Qualtrics employees are in the cult and those who are not.

Negative. Our cloud growth is faster than SAP's but we cant retain talent with the current benefits. This is to give employees better stock options so we're more competitive. SAP isnt selling us- SAP is freeing us.
Maybe SAP can free SAP employees as well so that we get a more than 13 shares of RSUs?
