Hi, I recently got an offer from a Series B startup. What do you think? I don't really know how to evaluate the equity component. Last round raised was $110M, last valuation was $370M. Base: $145K Bonus: $40K if I meet 100% of KPIs, up to 200% Stock options: 80K, 3 year vesting schedule. No info on strike price. How might you counter? #startup #equity #seriesb

you need the strike price and fair market value as well as total shares to eval
8 YOE, and I'm trying to negotiate to director title. They said share value from their Series B is $15, so based on $370M valuation, total shares outstanding is roughly 24.6M. But, no info on strike price. They that it will be determined upon issuance.
Without a strike price its hard to tell 🤷♂️
What are your thoughts on the cash component?
Base is on the lower end but thats expected for startups. Bonus is great

You should be looking at 170-200K base and about 75-150K for equity/year
