Anyone know how Waymo stock unit work? If I am offered 400k (over 4 years), how should I value it. tc 300k
Congrats on the offer! Would like to know some details… Are these RSUs or stock options or LTIPs? If they are RSUs, ask them they are at what valuation and do some research to find out, if they go IPO today what will be their valuation. e.g. if they gave you 400k at 50B valuation, if they go IPO at 100B valuation, your 400k is 800k. If it is stock options, you will typically have a discounted strike price. But you have to buy them at that price. e.g. 400k at 50B valuation may be actually from 25B valuation, so when they go IPO at 100B, you have 1.6M

I wouldn’t take it as 2.2x the worth. Take it for face value. The discount is coming from the fact that these are common units (based on 409a valuation which is ~2.2x less than the valuation of preferred units) vs. preferred units (based on valuation of ~30bil rumored). So technically, if Waymo does IPO at 30bil, the units they give you would be 2.2x, however it’s a huge risk as Waymo is comfortable not IPOing anytime soon. I do want to preface this with the fact that *if* Waymo does IPO at 100bil+ the upside is quite a bit.. only join at a risk you’re comfortable with though. There’s still a chance of busting.

They vest like RSUs. You can also buy back (pay cash) for the taxed portion of the WMUs so you can keep the units that would’ve went to taxes as they vest.
Ask the recruiter if you get to keep your stock if you leave. Hint: you don’t.
Not completely true. If you leave, You don’t have the rights to decide not to participate in liquidity events, unless you sign the clause that says Waymo can’t force you to participate in a liquidity event for up to 4 years. If Waymo IPOs within those 4 years after leaving the company, then your stock compensation is in the market and you have full control.
But once it’s vested they can’t take away corrected?

I have been in a similar boat. I would value it at 400k but with a discount due to low likelihood of IPO any time soon.
