I tried to find this online, but the information seems inconsistent. In some notes, it says the price (rsu) is 73/share, some other posts say it's 55/share for 38bn valuation. How do I get the correct data? Can anyone help if you know the number. Also is there a way to know what's the current valuation and stock price for that valuation Context: evaluating DB offer Current TC at Google approx 750K
It depends on how many shares are out there and since it’s a private company how would anyone know? Ask your recruiter
The recruiter won't disclose. They compare with the secondary market price it looks like
Share price depends on how many shares Databricks chooses to float when they go public. The whole pie is about $38b. If they float 1 billion shares, each share will be $38 a piece, if they float 500 million shares, they will be $76 a piece and so on.
Okay, thanks. I thought this information (how many shares) was already fixed, which seems not to be the case.
The above is incorrect. The number of shares is predetermined. With an IPO, existing shareholders can sell and/or a new block of shares can be sold, and that determines the market price of all shares and hence the market cap of the company.
I hope some databricks engineer can then clarify this.
38b was like 72 a share. We raised that at 220/share but had a 3:1 split.
Yeah, I thought the same, but then I saw that equityzen like company advertised to sell 55.77/share with 38bn valuation (just now o__o posted 60/share with 36Bn valuation). I would expect that the secondary market should be expensive
Role at Google / Databricks ?
Secondary market like equityzen pricing
The wedge is the delta between preferred share price and fmv 409a for tax purposes. When DB goes public, those two prices converge as all shares become common
73.33
Current market cap is at 55B @ 73 as per equityzen
@OP did you check with the recruiter ?, I am in the same boat as you are
We are not allowed to give any clear number as it might be interpreted as a promise and might have legal implications. The recruiter can give you a bunch of data points that can help you price your grant as you want. The last funding round was $38 bil at $220 price, august 2021, and then we had a 1:3 split. You can also ask for FMV (409a valuation) this is a sort of valuation made by some third party and can be used for some tax purposes; it's not a guarantee since it's not equivalent to somebody actually paying those money, but at least you can consider it as an educated estimate . The recruiter can also give you details about revenue growth in the last couple of years. I'm not going to put those numbers here, since they are not public, but you have signed an NDA so the recruiter/hiring manager might be able to provide them.
Understood, would the recruiter be able to share information about the share dilution ? We wont know how many new shares were issued since the last funding round. Since most of the valuation is based on earnings per share , more the number of shares the higher the multiple which would have an impact on the salary.
Is that with stock appreciation?
No, I am trying to learn when the offer is made, how do they define the per stock price. The recruiter could say anything, but I assume this they cannot disclose as well
