I just want to make sure you understand they're not actually underwater. You don't pay taxes on the grant price. You pay taxes on the vest price
Yep, but isnt it technically underwater if you sell at the below grant price, essentially locking in a lower tc?
Not really. You're given $x which just happens to be in your company's stock. But you can take that money out and put it in any other investment. Your tc is lower whether you sell or hold. Everything after that is investment portfolio performance

Depends on how you think the company will do in the short/medium term. If it’ll do good then hold, otherwise sell
