Not generally- but there are exceptions you should check with your state jurisdiction and industry. —Conflict of interest/ Defense and energy have their own exceptions to the general. I would check with a lawyer from your state if you have real concerns. Devil’s advocate: Is there any reason you don’t want to tell them..?

Depends on your job and the legislation surround conflicts of interest etc. Are you an auditor? If you work in an Assurance division where you have to sign independence declarations, there may be legal cooling off periods before you are allowed to work for certain companies if they were an EY audit client, given that you would have had access to sensitive company information that could support insider trading etc.
