COVID offers are generally lower, and with no counter offer, it is sometimes hard to negotiate.

Considering that refreshers should bump your salary on second/third/fourth year (and essentially match your initial RSU grant afterwards), it looks like a good move. You could try increasing the initial RSU, but it is sometimes hard to do so with no other offer in hand. Maybe you can increase it by saying you have unvested RSU at NVIDIA and want that covered on your offer.
I do have good amount of unvested NVIDIA's RSU and that is why I am questioning this offer. However I am not sure if this is a lowball offer for HW position on FB side or there is still some room to bump up INIT RSU
Unfortunately I don't have inside info to help you here. IMO you should ask for 1M citing your unvested stock and try to meet midway through. Even if you can't negotiate, I would still take this offer, as refreshers should net you a nice ammount.
Refreshers are the key in comparing the two offers. Without including stock appreciation (because no one knows what will happen in future), what is the level of refreshers at NVIDIA vs what FB promises?
NVIDIA RSU refresher is 1/3~1/2 base salary for IC5 and they match base for IC6 I heard FB's RSU refresher for E6 is from $220K-$300K based on your performance but I am not sure about HW teams (as there are some doubts from FB friends here) #facebookcompensation #facebookcomp can somebody with direct experience in FB HW team cast some RSU refresher numbers?
I would ask the recruiter, they can disclose that info.
Initial rsu is nice for hw, but be careful the refreshers may not be enough to offset, unless the job classification specifically targets comp close to swe. Nvidia stock should do much better than fb stock over the next 10 years.
This is what someone with PhD with < 10YOE makes in FB HW. You should be expecting at least 800K TC. The FB HW naysayers will try to low ball you because many themselves got fleeced when they negotiated their compensation.
750K is not a bad initial RSU. How much RSU do you get per year at nvidia?
