Just got verbal offer for a senior principal engineer. Base salary 215K RSU 200K Bonus 20% I am in the machine learning field, PhD with 15+ yoe. Is this a good offer? HR said I can expect 100K RSU refresh annually, is it too good to be true? Thanks!
The 100k refresh will be for another 4 years I reckon. You should clarify with the recruiter.
Yes, vested in 4 years. But refreshed every year, so I assume I can expect to get 100k every year (of course not garanteed).

This seems like a massive lowball. Sr Principal should pay more than that. I know they have title inflation but it shouldn’t be that bad. I’d ask them to double the RSU’s to 400k. You should just interview at Google, Facebook, Apple, etc. ML is in high demand and can pay way more for your experience level. I’m sure people on blind would be willing to give you referrals if you ask for it.

What is the vesting schedule of initial RSU grant?
Vested within 4 years, starting 1st month after 1st year.
While depends on the competing offers but I think you can get more. May be ask for 300k initial grant. One way to leverage is to show that your current TC is more than what they are offering. While it’s possible that they may not offer you the position but you don’t want to join for something you are not happy with!

I did not negotiate. This is just the HR telling me her "thoughts" and asking for my feedback before she prepares the formal offer. So sounds like I should definitely ask for ~400K RSU instead. My question is how do I justify the 400K number? 4 times the annual refresh? BTW my current TC is low coming from a different industry.
Big companies never ask your current TC.... Unless you mess up saying They usually and easily budge if you have competing offers You should anyhow negotiate hard....

Palo Alto Networks. This is higher than my current TC, so not too sure how to ask for more. HR did say if my current TC is higher she can try to get approval. Maybe ask for more RSU? How much more? I am waiting for a possible Apple offer.
